The Film and Publication Board (FPB) is seeking appointment of a qualified service provider to deliver professional company secretarial and governance services to Council and its four committees for a period of 3 years, with an estimated 1,800 billable hours over the contract term (600 hours per annum). Key deliverables include: managing Council and Committee meetings (4 statutory meetings per year per committee plus ad hoc special meetings), developing annual calendars and work plans, preparing meeting notices, agendas and supporting documents, drafting accurate minutes and resolutions, coordinating action tracking and reporting, and providing strategic corporate governance advice aligned with the Public Finance Management Act (PFMA), Companies Act, and King V Code. The service provider must provide legal and governance advice, review and update governance policies, ensure company-wide legislative compliance, liaise with external legal advisors, develop a Corporate Governance Policy Framework (including Delegation of Authority, Code of Conduct, Committee Terms of Reference, and Legislative Compliance Matrix), and oversee compliance with the Companies Act and Electronic Communications and Transactions Act. The provider must also maintain statutory registers (Council and Committee member records, minutes, resolution registers), lodge necessary forms with the Registrar of Companies, provide induction and training to Council members on fiduciary duties and governance legislation, and respond to ad hoc governance tasks including self-evaluations, policy reviews, King V readiness assessments, and workshop facilitation. The service provider must assign a resource with an LLB degree, admission as an Attorney, Letter of Good Standing from the Legal Practice Council, and CGISA accreditation, with minimum 5 years relevant experience including public sector governance and knowledge of PFMA and governance codes. The contract is based at FPB premises in Centurion, Pretoria, and bidders must submit two pricing options: hourly rate fee or retainer fee.
